“Aurora Cannabis Considers U.S. Acquisition Offer”

Aurora Cannabis Inc. is open to considering an acquisition offer from a U.S. cannabis company looking to take over the Edmonton-based firm. In response to an unsolicited bid from Curaleaf Holdings Inc., Aurora has announced the formation of a special committee to review the proposal.

If successful, the acquisition would result in a merged cannabis entity with a presence in 17 countries spanning Europe, North America, and other global markets, according to Curaleaf. The Connecticut-based company, listed on the Toronto Stock Exchange, disclosed its intentions after unsuccessful private negotiations with Aurora’s leadership.

Curaleaf expressed disappointment over Aurora’s reluctance to engage in discussions following formal letters of intent sent on June 23 and July 7. The proposed deal entails offering Aurora shareholders $4 US per share, in addition to $0.75 US cash for each Aurora share.

Aurora acknowledged receiving Curaleaf’s correspondence but refuted claims of refusal to engage with the offer. The Canadian cannabis company clarified that ongoing dialogue was not discouraged and that a special committee of independent directors would assess the proposal’s alignment with stakeholders’ interests.

While Aurora continues its operations unaffected, analysts caution that the current offer undervalues Aurora’s long-term growth potential. They highlight Aurora’s market leadership in medical cannabis, diversified product portfolio, robust financial standing, and adeptness in navigating international regulations as factors that could yield greater value over time.

Curaleaf’s CEO believes that merging the companies would enhance value by leveraging Curaleaf’s global distribution network with Aurora’s established international medical cannabis business. The combined revenue of both companies exceeded $1.5 billion US in the past year, with anticipated annual cost synergies of at least $40 million US from the proposed acquisition.

The merger is seen as mutually beneficial, offering Aurora shareholders the opportunity to participate in a more diversified global platform and leverage U.S. regulatory trends, according to Curaleaf.
